Referral Program Terms and Conditions

1. About these terms

1.1 These terms apply to the Cargoplot Referral Program (the "Program"), run by Cargoplot B.V., registered with the Dutch Chamber of Commerce under number 77768817, VAT number NL861135763B01, Danzigerkade 17, Amsterdam, the Netherlands ("Cargoplot", "we", "us").

1.2 By ticking "I agree to the referral terms of service" in the Cargoplot platform, you accept these terms on behalf of the organization whose account you use. You confirm that you are authorized to bind that organization.

1.3 These terms apply in addition to Cargoplot's General Terms and Conditions and Privacy Policy. If they conflict, these terms prevail for the Program.

2. Definitions

• Referrer: the organization that has accepted these terms and shares its Referral Link.
• Referee: a company that signs up to Cargoplot through a Referrer's Referral Link.
• Referral Link: the personal link shown on the "My referrals" page of the Referrer's account.
• Referral: the recorded link between a Referrer and a Referee.
• Qualified Referral: a Referral that meets all conditions in section 5.
• Reward: the fee Cargoplot pays the Referrer for a Qualified Referral, as set out in section 6.
• TEU: twenty-foot equivalent unit, calculated as set out in section 6.3.

3. Who can take part

3.1 Only organizations can take part. The Referrer must be a business with a legal entity registered in the European Union that can issue a valid invoice, including a VAT number. Cargoplot does not pay Rewards to private individuals.

3.2 Rewards belong to the Referrer organization, not to the individual user who shares the link or accepted these terms. No user can claim a Reward personally.

3.3 The Referrer does not need to be a Cargoplot shipper; any organization with a Cargoplot account can take part.

3.4 Cargoplot may refuse or end any organization's participation at its own discretion.

4. How referrals are recorded

4.1 A Referral is only recorded when the Referee opens the Referral Link and then signs up to the Cargoplot platform within 30 days of the latest click on a Referral Link. The link stores a cookie in the Referee's browser for this purpose.

4.2 If a Referee opens several Referral Links, the last link opened before sign-up counts.

4.3 Referrals are recorded automatically through the Referral Link. The Referrer cannot claim a Referral that was not recorded this way, for example when a Referee signed up without the link, on a different browser or device, or after clearing cookies. Cargoplot may, at its own discretion, record such a Referral manually, but is not obliged to.

4.4 Each Referee can have only one Referrer. The first recorded Referral is final and cannot be transferred to another Referrer, even if it is later rejected.

4.5 A Referrer can refer any number of Referees.

4.6 The Referrer can see each Referee's company name and the status of the Referral on the "My referrals" page. The Referrer has no access to the Referee's shipments, quotes, invoices or other details.

5. When a referral qualifies

5.1 A Referral qualifies only if all of the following apply:

1. The Referee is a new organization to Cargoplot, with a company registration number (such as a KvK number) that was not registered on the Cargoplot platform before 22 October 2026 or at any time before the Referee's sign-up.
2. The Referee has never shipped with Cargoplot, and is not an existing or former Cargoplot client under a different entity, name or registration number.
3. The Referee is not the Referrer itself, part of the same group of companies, or using the same email domain as the Referrer.
4. The Referee books its first shipment within 180 days of signing up.
5. The Referee has paid the invoice for that first shipment in full.
6. Cargoplot has reviewed and approved the Referral.

5.2 If the Referee's first shipment is cancelled, a later first shipment can still qualify, but only if it is booked within 180 days of the original sign-up. The 180-day period is not reset.

5.3 A Referral that does not qualify within 180 days of sign-up expires.

5.4 Cargoplot decides whether a Referral qualifies. Cargoplot's decision is final.

6. The Reward

6.1 For each Referral, the Referrer chooses one of these Rewards:

• Flat fee: EUR 100 per Qualified Referral; or
• Per TEU: EUR 20 per TEU, or per qualifying air shipment, shipped by the Referee during the 12 months after the Referee's first shipment booking.

6.2 The Referrer makes this choice once per Referral in the platform. The choice is then final, unless Cargoplot agrees to change it before the Reward is paid. If no choice is made, no Reward is due.

6.3 For the per-TEU Reward: a 20-foot container counts as 1 TEU, and a 40-foot or 45-foot container as 2 TEU. Special containers (such as high cube, reefer, open top or flat rack) count by their length in the same way. For LCL shipments, volume in cubic metres is converted at 23.5 CBM = 1 TEU. Air shipments count as EUR 20 per shipment, provided the shipment's chargeable weight is at least 100 kg; air shipments below 100 kg chargeable weight do not count. Only shipments that are completed and whose invoices have been paid in full by the Referee count.

6.4 The Referee receives no reward under the Program.

6.5 All Reward amounts exclude VAT.

7. Statement, invoice and payment

7.1 Once a Referral is approved, Cargoplot emails a statement of the Reward amount to the user who accepted these terms for the Referrer. For the per-TEU Reward, Cargoplot sends a statement each quarter during the 12-month period in section 6.1.

7.2 The Referrer then invoices Cargoplot for the exact amount on the statement. The invoice must meet Dutch invoicing requirements and include the Referrer's company name, address, registration number, VAT number, the statement reference and the correct VAT.

7.3 Cargoplot pays a Reward only after the Referee has paid in full the invoices for the shipments the Reward is based on. Cargoplot checks each invoice against the statement and pays correct invoices within 30 days of receipt. Cargoplot may reject or ask for correction of invoices that do not match the statement.

7.4 Invoices must be received within 90 days of the statement date. After that, the right to the Reward lapses.

7.5 Rewards are paid only by bank transfer to an account in the Referrer's company name. Rewards cannot be exchanged for credit, discounts or cash, and cannot be transferred.

8. VAT and taxes

8.1 The Reward is payment for a service the Referrer provides to Cargoplot: introducing a new client. It is a VAT-taxable service.

8.2 Referrers established in the Netherlands charge 21% Dutch VAT on their invoice. Referrers established elsewhere in the EU invoice without VAT under the reverse-charge mechanism, stating "VAT reverse charged" and both parties' VAT numbers.

8.3 The Referrer is responsible for its own taxes on Rewards received.

9. Rules of conduct

9.1 The Referrer must share its Referral Link honestly and lawfully. The Referrer must not:

1. send unsolicited bulk messages (spam), or share the link in breach of e-mail, privacy or marketing laws;
2. make false or misleading statements about Cargoplot, its services or its prices;
3. present itself as Cargoplot or as acting on Cargoplot's behalf;
4. bid on Cargoplot brand terms in paid search or post the link on coupon, discount or cashback sites;
5. create fake accounts or organizations, refer itself or its own group, or use any other means to obtain Rewards it is not entitled to.

9.2 If Cargoplot suspects a breach of these terms, fraud or abuse, Cargoplot may reject Referrals, withhold Rewards, reclaim Rewards already paid, and exclude the Referrer from the Program, without notice and without liability.

10. Relationship between the parties

10.1 The Referrer acts as an independent party. Nothing in these terms creates an employment, agency, partnership or joint venture relationship. The Referrer cannot bind Cargoplot or make commitments on its behalf.

10.2 Cargoplot is free to accept or decline any Referee as a client and to set its own terms with that Referee.

11. Personal data and cookies

11.1 Cargoplot processes personal data in connection with the Program in line with its Privacy Policy.

11.2 The Referral Link sets a strictly necessary cookie (cp_ref) that stores the referral code for 30 days, so the Referral can be recorded. See our Privacy Policy.

11.3 The Referrer is responsible for sharing its Referral Link in compliance with applicable privacy and marketing laws.

12. Changes and ending the Program

12.1 Cargoplot may change these terms, the Rewards, or the Program at any time. Changes apply from the moment they are published, and only to Referrals recorded after that date, unless the law requires otherwise.

12.2 Cargoplot may suspend or end the Program at any time. Referrals recorded before the Program ends will still be rewarded under the terms that applied to them if they qualify within the 180-day period in section 5.1, unless section 9.2 applies. No new Referrals are recorded after the Program ends.

12.3 The Referrer may stop taking part at any time. Rewards for Referrals that qualified before that date remain payable.

13. Liability

13.1 The Program is provided "as is". Cargoplot does not guarantee that the Referral Link, the cookie or the platform will always work or record every Referral.

13.2 Cargoplot's total liability under the Program is limited to the Rewards due to the Referrer under these terms. Cargoplot is not liable for any indirect or consequential loss, lost profit or lost Rewards, except in case of intent or gross negligence.

14. Governing law and disputes

14.1 These terms are governed by Dutch law.

14.2 Disputes are submitted exclusively to the competent court in Amsterdam, the Netherlands.

14.3 If any provision of these terms is invalid, the other provisions remain in force.
